Terms of Service

1. Acceptance of Terms

By accessing or using the Allnighter platform, website, API, SDK, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Allnighter provides a universal shopping cart for AI agents — a single API key, credit pool, and proxy layer that routes requests to third-party providers (search, scraping, image generation, voice, video, data, and others). The Service includes the web dashboard, REST API, MCP server, and SDK.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use.

4. API Keys and Access

API keys are issued per account and grant access to the provider catalog. You must not share, publish, or embed API keys in client-side code. We reserve the right to revoke keys that are compromised or misused.

5. Credits, Billing, and Payments

The Service operates on a credit-based model. Credits are purchased in advance and consumed when your agents make provider calls. Credits are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice. All fees are exclusive of applicable taxes.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any laws.
• Attempt to gain unauthorised access to the Service or its systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Transmit malware, viruses, or other harmful code through the Service.
• Resell or redistribute the Service without prior written consent.
• Use the Service to harass, abuse, or harm others.
• Exceed rate limits or circumvent spend caps.

7. Third-Party Providers

The Service routes requests to third-party providers. We do not control these providers and are not responsible for their availability, accuracy, or content. Your use of provider services through Allnighter is also subject to the respective provider's terms of service.

8. Intellectual Property

The Service, including its design, code, trademarks, and documentation, is owned by Allnighter and protected by intellectual property laws. You retain ownership of any content you submit through the Service, but grant us a limited licence to process it as needed to provide the Service.

9. Limitation of Liability

To the fullest extent permitted by law, Allnighter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

We may suspend or terminate your access to the Service at any time for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
